These Terms and Conditions ("Terms") govern your use of codexadesigns.com and any services provided by Codexa Designs ("we," "us," or "our"). Please read these Terms carefully before engaging our services or using our website.
By accessing our website or entering into a service agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms.
Acceptance of Terms
By using our website or engaging our services — whether through a signed proposal, invoice payment, or verbal agreement — you agree to these Terms. If you do not agree, you should not use our website or engage our services.
These Terms apply to all visitors, clients, and parties who access or use our website or services in any capacity.
Our Services
Codexa Designs provides the following digital services:
- Web Design & Development (custom websites, landing pages, platforms)
- Brand Identity Design (logos, visual systems, brand strategy)
- UI/UX Product Design (apps, SaaS platforms, prototyping)
- eCommerce Solutions (Shopify, headless commerce, CRO)
- SEO & Growth Strategy (technical SEO, content architecture, analytics)
- Monthly Retainer Partnerships (ongoing design and development support)
The scope of each project is defined in a separate proposal or statement of work ("SOW"), which forms part of these Terms when agreed upon.
Client Obligations
To enable us to deliver work on time and to the agreed standard, clients agree to:
- Provide all required materials, assets, and information in a timely manner
- Designate a primary point of contact for the project
- Review and provide feedback within the timeframes specified in the SOW
- Ensure all content and materials provided do not infringe third-party intellectual property rights
- Make payments in accordance with the agreed payment schedule
Payment & Fees
Payment terms are specified in each project proposal. Unless otherwise agreed in writing:
- Deposit: A non-refundable deposit (typically 50%) is required before work commences.
- Final payment: The remaining balance is due prior to delivery of final files or website launch.
- Retainers: Monthly retainer fees are due on the 1st of each month and are non-refundable.
- Late payments: Invoices unpaid after 14 days may incur a late fee of 2% per month on the outstanding balance.
- Suspension: We reserve the right to pause work on any project where payment is overdue.
All fees are quoted in the currency specified on the proposal. Taxes, if applicable, are the responsibility of the client.
Intellectual Property
Client-provided materials: You retain ownership of all content, logos, images, and materials you supply to us. You grant Codexa Designs a licence to use these solely for the purpose of delivering your project.
Deliverables: Upon receipt of full payment, ownership of the final agreed deliverables (design files, website code, brand assets) transfers to you.
Our tools & processes: We retain ownership of any proprietary frameworks, methodologies, templates, and tools developed or used in the creation of your project that are not specific to your deliverables.
Portfolio rights: We reserve the right to display completed work in our portfolio and promotional materials unless otherwise agreed in writing.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes but is not limited to business strategies, unreleased products, financial information, and technical specifications.
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
If a formal NDA is required, this should be agreed and signed before project commencement.
Revisions & Approval
Each project includes a defined number of revision rounds as specified in the proposal. Additional revisions beyond the agreed scope will be quoted and billed separately.
A "revision" is defined as minor adjustments to existing approved work. Significant changes in direction or scope — including changes to brief, target audience, or core concept — may be treated as new work and priced accordingly.
Client sign-off at each milestone stage is required before progressing to the next phase. Written approval (email) constitutes acceptance.
Project Timelines
Timelines are estimated at project outset and depend on timely client collaboration. We commit to delivering work within the agreed timeframes provided:
- The client meets all content and feedback deadlines
- No significant changes to the project scope are requested mid-project
- All deposit payments are made as scheduled
We will notify you as soon as possible of any delays on our part. Neither party will be held liable for delays caused by circumstances beyond their reasonable control (force majeure).
Limitation of Liability
To the maximum extent permitted by applicable law, Codexa Designs shall not be liable for:
- Any indirect, incidental, or consequential loss or damage
- Loss of revenue, profit, data, or business opportunity
- Errors or inaccuracies in third-party tools, platforms, or services
- Website downtime caused by hosting providers or third-party platforms
Our total cumulative liability in connection with any project shall not exceed the total fees paid by the client for that specific project.
Termination
By the client: You may terminate a project with 14 days' written notice. Any work completed up to the termination date will be invoiced and must be paid. The initial deposit is non-refundable.
By Codexa Designs: We reserve the right to terminate a project if:
- Payment is overdue by more than 30 days
- The client engages in abusive, threatening, or unlawful conduct
- The project requires us to produce content we deem unlawful, harmful, or unethical
Upon termination, all work completed and paid for will be delivered to the client. Work not yet paid for remains the property of Codexa Designs.
Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or our services shall first be attempted to be resolved amicably through direct negotiation.
If a resolution cannot be reached, disputes may be escalated to mediation or the appropriate legal jurisdiction of the client's or company's primary place of business.
Changes to These Terms
We reserve the right to update these Terms at any time. Changes will be reflected by updating the "Last updated" date on this page. For active projects, existing agreements and proposals take precedence over updated Terms unless mutually renegotiated.
We encourage you to review these Terms periodically. Continued engagement with our services following any changes constitutes acceptance of the updated Terms.
